TRAC PROFESSIONAL – END USER LICENSE AGREEMENT (EULA)

This End User License Agreement (“EULA”) governs your access to and use of the TRAC Professional image (the “Image”) published by FINTRAC LTD, a company incorporated in England & Wales (“Fintrac”). By launching, deploying, copying, or using this Image, you acknowledge that you have read, understood, and agree to be bound by this EULA.
1. DEFINITIONS
“Image” means the machine image, container image, or software bundle made available by Fintrac through cloud marketplaces (including AWS Marketplace, Azure Marketplace, Google Cloud Marketplace, or any other distribution platform) or other distribution channels, and includes:
proprietary software, scripts, integrations, and configuration files developed by Fintrac (“Custom Code”); and
third-party components licenced under their respective open-source licences (“Third-Party Components”).
“License Key” means the technical activation and configuration file issued by Fintrac which enables operational use of TRAC in accordance with a License Agreement. It is not a legal grant of rights or permission to use the software.
“License Agreement” means a written agreement between Fintrac and the customer organisation that sets out the commercial, legal, and operational terms under which TRAC may be used.
“You” / “Customer” means the individual or organisation launching, copying, or otherwise using the Image.
2. NO LICENSE GRANTED BY DOWNLOADING OR LAUNCHING THE IMAGE
The Image is made available solely as a distribution mechanism. Downloading, launching, or accessing the Image does not grant you any rights to use TRAC. You may only use TRAC if:
Your organisation has entered into a valid License Agreement with Fintrac; and
Fintrac has issued a corresponding License Key to your organisation.
The License Key enables functionality but does not, on its own, grant any licence rights.
All rights and permissions derive exclusively from the License Agreement.
3. PERMITTED USES
Subject to a valid License Agreement and a corresponding License Key, you may:
·Access, run, and operate the Image solely within your organisation for the purposes and scope defined in your License Agreement;
Use TRAC for internal or commercial activities, only to the extent expressly permitted in the License Agreement;
Install the Image and License Key on systems or environments specified in the License Agreement.
4. PROHIBITED USES
You may not, under any circumstances:
Use TRAC without a valid License Agreement, even if you possess a License Key.
Alter, circumvent, bypass, or interfere with any licence enforcement features or technical restrictions.
Reverse-engineer, decompile, modify, adapt, or create derivative works of the Image or any component of TRAC.
Redistribute, sublicence, lease, rent, host, copy, publish, or provide TRAC or the Image to any third party, except as expressly authorised in your License Agreement.
Use TRAC in any regulated, production, mission-critical, or reporting environment unless expressly permitted in the License Agreement.
Redistribute or use Third-Party Components in a manner that violates their open-source licences (e.g., GPL).
5. SUPPORT, MAINTENANCE & UPDATES
This EULA does not entitle you to:
support,
maintenance,
patches,
updates, or
upgrades.
All such services are governed exclusively by your License Agreement, to the extent included therein.
6. THIRD PARTY COMPONENTS
This Image contains software developed by FINTRAC LTD and third parties which are published under their respective open-source licences. The key components and their licences include:
Linux base system packages – General Public License (GPL) and other licences.
OpenJDK – GPL with Classpath Exception.
Python – Python Software Foundation Licence Agreement.
Java libraries – various licences, including Apache, MIT, and BSD.
Python libraries – various licences, including Apache, MIT, and BSD
TRAC D.A.P. – Apache 2.0.
Nothing in this EULA restricts or overrides rights granted under applicable open-source licences. Compliance with such licences is your responsibility.
7. DATA PRIVACY & PROCESSING
Fintrac does not access, collect, store, or process any customer data through this Image unless expressly agreed in writing. You are solely responsible for securing the environments in which the Image is deployed.
8. EXPORT CONTROLS
You agree to comply with all applicable UK, EU, U.S., and international export control laws and regulations relating to the distribution, use, transfer, or export of the Image and TRAC.
9. TERMINATION
Your rights under this EULA automatically terminate if:
You use the Image without a valid License Agreement;
You use TRAC outside the scope of your License Agreement;
You breach this EULA or your License Agreement;
Your License Agreement expires or is terminated.
Upon termination, all rights granted to you under this EULA immediately cease and you must immediately:
cease all use of TRAC and the Image; and
delete all copies of TRAC, the Image, and the License Key in your possession or control.
10. DISCLAIMER OF WARRANTIES
The Image is provided “AS IS” without any warranties of any kind. Fintrac expressly disclaims all implied warranties, including merchantability, fitness for a particular purpose, non-infringement, performance, and security.
11. LIMITATION OF LIABILITY
To the fullest extent permitted by law:
Fintrac shall not be liable for any indirect, special, incidental, punitive, or consequential damages;
Where no License Agreement exists, Fintrac’s total aggregate liability is £0
Where a License Agreement exists, liability is capped as stated in that agreement.
Nothing in this EULA excludes liability that cannot be excluded under applicable law.
12. INDEMNITY
You agree to indemnify and hold harmless Fintrac from any claims, damages, losses, or expenses arising from:
your misuse of the Image;
breach of this EULA;
misuse or misdeployment of Third-Party Components.
13. MARKETPLACE TERMS
The cloud marketplace provider (including AWS, Azure, GCP, or any other platform on which this Image is made available) and its affiliates:
are not parties to this EULA;
have no responsibility or liability relating to the Image;
provide Marketplace solely as a distribution channel.
Your use of the cloud provider’s infrastructure is governed by your separate agreements with that provider.
14. GOVERNING LAW
Where a License Agreement exists, the governing law and jurisdiction specified in that agreement shall apply. Where no License Agreement exists, this EULA shall be governed by the laws of England & Wales, and the courts of England & Wales shall have exclusive jurisdiction.
15. GENERAL PROVISIONS
This EULA may not be assigned by you without Fintrac’s written consent.
If any provision is deemed unenforceable, the remainder survives.
This EULA may be updated by Fintrac from time to time; continued use of the Image constitutes acceptance of the updated terms.
This EULA does not modify or supersede any terms in a valid License Agreement, which shall take precedence.
“TRAC” and related names, logos, and marks are trademarks of Fintrac Ltd. No rights are granted to use Fintrac trademarks, product names, or branding without express written permission from Fintrac.
